Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Omni platform (“Platform”, “Service”) operated by Invariably Digital Group (“Company”, “we”, “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Account — Your organization’s tenant on the Platform, including all users, data, and configuration.
  • Subscription — Your selected service plan (Launch, Grow, Scale, Power, or Elite) and any add-on features.
  • Authorized Users — Individuals you grant access to your Account.
  • Customer Data — All data you or your Authorized Users enter, upload, or import into the Platform.

2. Account Registration

To use the Service, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.

3. Subscription Plans and Billing

3.1 Plans and Pricing

The Platform is offered under tiered subscription plans. Current plan details and pricing are available at /public/pricing. We reserve the right to modify pricing with 30 days’ written notice before your next billing cycle.

3.2 Recurring Billing

Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize us to charge your designated payment method at the beginning of each billing cycle. All fees are quoted in US dollars.

3.3 Add-On Features

Certain features are available as paid add-ons. Add-on charges are billed alongside your base subscription and are subject to the same billing cycle and payment terms.

3.4 Free Trials

If you sign up for a free trial, you will not be charged until the trial period expires. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

3.5 Plan Changes

You may upgrade your plan at any time; upgrades take effect immediately and are prorated. Downgrades take effect at the start of your next billing cycle. No refunds are issued for partial billing periods on downgrades.

3.6 Cancellation

You may cancel your subscription at any time through the billing settings in your Account. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • No further charges will be made after the current period.
  • You may revoke a pending cancellation before the period ends.
  • After the subscription ends, your Account enters a 30-day grace period during which you may reactivate or export your data.
  • After the grace period, your Account and all Customer Data will be permanently deleted in accordance with our Data Retention Policy.

3.7 Overdue Payments

If payment fails, we will notify you and attempt to collect payment according to our dunning schedule. If payment remains outstanding for more than 30 days, we may suspend your Account until payment is received.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to access another tenant’s data or any system or network without authorization.
  • Upload or transmit malicious code, viruses, or any content designed to disrupt the Service.
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use the Service to store or process data subject to heightened regulatory requirements (e.g., HIPAA-protected health information, classified government data) unless expressly agreed in writing.

5. Customer Data

5.1 Ownership

You retain all ownership rights to your Customer Data. We do not claim any ownership interest in your data.

5.2 License to Process

You grant us a limited license to host, process, and display your Customer Data solely for the purpose of providing the Service. This license terminates when your Account is deleted.

5.3 Data Processing

Our processing of personal data within your Customer Data is governed by our Data Processing Agreement.

5.4 Data Export

You may export your Customer Data at any time using the Platform’s built-in export tools. Upon cancellation, you will have 30 days to export your data before it is permanently deleted.

6. Security

We implement industry-standard security measures to protect your data, including:

  • Schema-per-tenant database isolation
  • TLS 1.2+ encryption for all data in transit
  • AES-GCM encryption for sensitive fields at rest
  • Multi-factor authentication (MFA) support
  • Role-based access control with tenant-customizable permissions
  • Security audit logging

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, hosting provider failures, or force majeure events.

8. Intellectual Property

The Platform, including its design, code, documentation, and branding, is the intellectual property of Invariably Digital Group. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Third-Party Integrations

The Platform supports integrations with third-party services (e.g., Shopify, Square, EasyPost, Stripe). Your use of third-party integrations is subject to the respective third party’s terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for all claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-platform announcement. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your Account if you materially breach these Terms and fail to cure the breach within 15 days of written notice. In cases of illegal activity, security threats, or repeated violations, we may terminate immediately without notice.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, and any applicable order forms, constitute the entire agreement between you and the Company regarding the Service.
